These Website Terms of Use (“Website Terms”) govern access to and use of the website operated by West Industrial Company Limited (“WIC”, “we”, “our” or “us”) (“Website”).
Clause 14 constitutes WIC’s Cookie Policy. These Website Terms should be read alongside WIC’s Privacy Policy.
By accessing or using the Website, you agree to these Website Terms. If you do not agree, you must cease using the Website. Acceptance of these Website Terms does not constitute consent to direct marketing, cookies or other processing for which separate consent is required by law.
1. ABOUT WIC
1.1 West Industrial Company Limited is a company registered in England and Wales under company number 17268228. WIC is its abbreviated brand name.

2. APPLICATION AND CONTRACTUAL STATUS
2.1 These Website Terms govern use of the Website and access to downloadable resources. The supply of bespoke Operational Systems, consultancy, development, training, WIC Support and associated Services or Deliverables is governed by WIC’s Business Terms and Conditions and the applicable Contract documents.
2.2 References to a Quotation, Order Confirmation, Contract, Project, Services, Deliverables, Operational System, Free System or WIC Support have the meanings given in WIC’s Business Terms and Conditions.
2.3 Project Contract formation takes place exclusively in accordance with Clause 6 of the Business Terms and Conditions.
2.4 If contractual documents are inconsistent, the following order of precedence applies:
the Order Confirmation;
any written variation expressly agreed by WIC’s Managing Director;
the Quotation; and
the Business Terms and Conditions.
These Website Terms do not override those documents in relation to the supply of Services or Deliverables.
2.5 A Client purchase order is not required and does not form part of the Contract unless WIC expressly agrees otherwise in writing. Client purchasing terms and other standard conditions are excluded unless expressly accepted in writing by WIC’s Managing Director.
2.6 Nothing on the Website varies an existing Contract. No employee, agent or representative may vary WIC’s Business Terms and Conditions unless WIC’s Managing Director agrees the variation in writing.
2.7 WIC’s Privacy Policy explains its processing of personal data. Neither these Website Terms nor a Contract removes statutory data protection rights.
3. WEBSITE ACCESS
3.1 Access to the Website is provided on an as-available basis. WIC may modify, suspend, withdraw, restrict or discontinue all or part of the Website.
3.2 WIC does not guarantee that the Website or its content will always be available, uninterrupted, secure or free from errors or defects.
3.3 You are responsible for obtaining and maintaining the equipment, software, internet connection and security measures required to access the Website.
3.4 Changes to Website availability do not remove WIC’s obligations under an existing Contract.
4. INTERNATIONAL ACCESS
4.1 The Website is operated from England and may be accessed internationally.
4.2 WIC may serve business Clients worldwide, subject to applicable law, sanctions, export restrictions, payment availability, technical feasibility and WIC’s acceptance of the Order.
4.3 Website access does not establish that a particular Service, resource or technology is available, lawful or suitable in every jurisdiction.
4.4 Persons accessing the Website outside the United Kingdom are responsible for complying with applicable local law. Nothing in these Website Terms excludes mandatory legal protections that apply to them.
5. BUSINESS USERS AND AGE
5.1 WIC’s Services and Systems are offered for business purposes. Clients must act wholly for purposes relating to their trade, business, craft or profession, rather than as consumers.
5.2 By submitting a business enquiry, requesting a Quotation, booking a sales or discovery call, or obtaining a Free System, you confirm that you are at least 18 years old and have authority to act for the relevant business where applicable.
5.3 Information submitted through the Website must be accurate and must not misrepresent your identity, business, authority or requirements.
6. WEBSITE INFORMATION AND CONTRACT FORMATION
6.1 The Website provides general information about WIC, its Services and its Systems. Website descriptions, illustrations, demonstrations and indicative prices do not themselves constitute a binding offer to supply a particular Project.
6.2 General Website information is not a substitute for advice or Services commissioned for your particular circumstances.
6.3 An enquiry, sales call, meeting booking, Quotation, revised Quotation, invoice, payment, proposed completion date or other communication alone does not form a Project Contract.
6.4 For a paid Project, WIC allocates the cleared payment, converts the accepted Quotation into an Order and issues an Order Confirmation containing a unique Order Confirmation Number. The Project Contract is formed only when WIC issues that Order Confirmation.
6.5 For a Project supplied for no monetary charge, the Project Contract is formed when the Client accepts the £0 Quotation in writing and WIC issues the Order Confirmation.
6.6 Payment before Order Confirmation creates a Pending Order and instructs WIC to proceed through its order-acceptance process. Pending Orders, acceptance, refunds and cancellation are governed by the Business Terms and Conditions.
6.7 Obtaining a Free System does not create a bespoke Project Contract or WIC Support subscription. Its use is subject to Clause 11 below and Clause 14 of the Business Terms and Conditions.
6.8 WIC may decline an enquiry or proposed engagement for a lawful reason, subject to its obligations under the Business Terms and Conditions and applicable law.
7. PERMITTED USE
7.1 You may use the Website for lawful purposes connected with evaluating WIC’s Services, obtaining permitted resources and contacting WIC.
7.2 You may view Website content and make reasonable copies of relevant information for your own internal business evaluation, provided you retain ownership notices and do not misrepresent the content.
7.3 Downloadable resources and the Free System are subject to Clause 11 and any expressly applicable licence.
7.4 No ownership or other rights are granted beyond those expressly stated.
8. PROHIBITED USE
8.1 You must not:
use the Website for an unlawful, fraudulent or malicious purpose;
interfere with, damage or disrupt the Website, its hosting, networks or connected systems;
introduce viruses, malware, ransomware, trojans, spyware, malicious scripts or other harmful material;
attempt unauthorised access, security testing, vulnerability scanning or penetration testing without WIC’s prior written permission;
reverse engineer, frame, mirror or reproduce the Website except as expressly permitted by these Website Terms or applicable law;
impersonate another person or organisation, or submit false, misleading or unauthorised information;
harvest contact details or use bots, scripts or scraping tools to collect Website content or data without WIC’s prior written permission;
use Website content to train, fine-tune, evaluate or populate artificial intelligence systems, machine-learning models or datasets without WIC’s prior written permission; or
reproduce, distribute, publish, sublicense, sell or commercially exploit Website content beyond the permissions expressly granted.
8.2 These restrictions do not prohibit ordinary indexing by legitimate search engines acting in accordance with WIC’s published technical instructions, or activities that applicable law permits notwithstanding these restrictions.
9. INTELLECTUAL PROPERTY
9.1 Unless otherwise stated, intellectual property rights in the Website and its content belong to WIC or its licensors. This includes text, graphics, branding, logos, layouts, documents, templates, frameworks, reports, resources, software and designs.
9.2 WIC retains its rights in its methodologies, methods, know-how, templates, frameworks, architecture, logic, techniques, concepts, reusable components, training materials and development tools.
9.3 Nothing in these Website Terms transfers ownership of that intellectual property.
9.4 Ownership of Deliverables supplied under a Project Contract is governed by Clause 18 of the Business Terms and Conditions. These Website Terms do not reduce rights expressly granted to a Client under that Contract.
9.5 Third-party software, platforms and materials remain subject to their respective owners’ licence terms.
10. TRADE MARKS
10.1 The names WIC and West Industrial Company, and WIC’s associated logos, branding and visual identity, belong to WIC or its licensors.
10.2 You must not use them in a manner suggesting an association, approval or endorsement without WIC’s prior written permission.
10.3 No trade-mark licence is granted by Website access, except to the extent expressly agreed in writing or permitted by applicable law.
11. DOWNLOADABLE MATERIALS AND THE FREE SYSTEM
11.1 Unless a resource is supplied under a different express licence, WIC grants a limited, revocable, non-exclusive and non-transferable licence to download and use it for the recipient’s own internal business purposes.
11.2 You may make copies reasonably necessary for that permitted use. Unless expressly permitted, you must not modify, resell, redistribute, sublicense, publish, make available to third parties or commercially exploit the resource.
11.3 The Free System is governed specifically by Clause 14 of the Business Terms and Conditions, which prevails over the general downloadable-material restrictions above.
11.4 WIC retains ownership of the Free System and its underlying template, structure and materials. Subject to the applicable licence, the recipient may duplicate it into its own supported third-party environment and use and modify that copy for its own internal business operations.
11.5 The recipient must not sell, resell, redistribute, sublicense, publish, make available to third parties, commercially exploit or represent itself as the creator or owner of the Free System or WIC’s underlying intellectual property.
11.6 The Free System is a general template and is not bespoke to the recipient. The recipient is responsible for assessing its suitability, configuring it, arranging required third-party accounts and licences, and using it safely and lawfully.
11.7 WIC Support does not cover the Free System or any other free lead-magnet system, template, application or software, including a copy modified or configured by the recipient.
11.8 The 90-day complimentary WIC Support period and paid WIC Support apply only to eligible bespoke Operational Systems built and supplied by WIC under a Contract. Obtaining a free resource does not create a support entitlement.
11.9 Supplying a template or Free System does not, by itself, give WIC access to data subsequently entered into the recipient’s own environment. The recipient is responsible for its own processing. Support exclusions do not exclude applicable data protection duties.
12. WEBSITE ACCURACY AND BUSINESS OUTCOMES
12.1 WIC endeavours to keep Website content accurate and current but does not warrant that general Website information is complete, current or free from error. Content may be corrected, changed or removed.
12.2 You are responsible for assessing whether general information is suitable for your circumstances and obtaining appropriate advice before relying on it.
12.3 Examples, demonstrations, testimonials and case studies describe particular circumstances. They do not guarantee that another business will obtain the same results.
12.4 WIC does not guarantee any particular profit, saving, productivity improvement, return on investment, capacity increase or other business outcome unless expressly guaranteed in an Order Confirmation.
12.5 Nothing in this Clause removes WIC’s obligation to perform contracted Services with reasonable skill and care.
13. THIRD-PARTY WEBSITES AND SERVICES
13.1 The Website may link to or integrate with third-party services for functions such as meeting bookings, payments, communications, reviews, demonstrations and resource delivery.
13.2 Third parties’ own terms, privacy notices and cookie information apply to their services. You should review that information before using them.
13.3 WIC does not control independent third-party websites or guarantee their availability, content, security, pricing or performance.
13.4 A link does not itself constitute an endorsement or guarantee.
13.5 Where a provider processes personal data on WIC’s behalf, WIC’s applicable data protection obligations continue. Independent controllers are responsible for processing under their own control.
13.6 These provisions do not exclude WIC’s responsibility for its own conduct, contractual obligations or compliance with applicable law when selecting or embedding third-party services.
14. COOKIE POLICY
14.1 This Clause constitutes WIC’s Cookie Policy. It concerns technologies that store information on, or access information from, your device.
14.2 These technologies may include cookies, local storage, pixels, scripts, tags and comparable technologies. Applicable requirements may also cover link identifiers, link decoration and navigational tracking.
14.3 WIC uses technologies for essential Website functions and, subject to applicable requirements, Website analytics. Technical and activity information may be used to administer and protect the Website and understand its use.
14.4 Strictly necessary technologies may operate without consent where the applicable legal exception permits. These may support security, requested functionality and the recording of cookie preferences. A technology is not strictly necessary merely because it is convenient or commercially useful to WIC.
14.5 WIC’s cookie banner offers Accept all, Decline all and Manage cookies. Declining optional technologies does not disable technologies that lawfully operate under an applicable exception.
14.6 Where consent is required, the relevant technologies are restricted until valid consent is obtained. Accessing the Website, accepting these Website Terms or consenting to newsletters does not provide consent to those technologies.
14.7 Visitors may revisit their choices through Cookie Preferences and withdraw consent as easily as it was given. Withdrawal does not affect the lawfulness of processing carried out before withdrawal.
14.8 Any exception other than strict necessity is used only where its conditions are satisfied, including required information and any required means of objection.
14.9 WIC will make information about the technologies actually deployed available through its cookie notice or preference mechanism. This includes their purposes, providers and duration where applicable.
14.10 Third-party features, including booking tools, embedded reviews and other integrations, are assessed separately. WIC addresses applicable information and consent requirements for technologies deployed through its Website. A provider’s own notices may also apply.
14.11 Content-specific links, campaign codes and redirect services may be used for attribution. Where their operation stores information on, or accesses information from, a device and requires consent, that consent must be obtained before the operation occurs, including at a redirect stage.
14.12 Where required consent is declined or withdrawn, consent-dependent collection and use stop. Requested resources remain available without that tracking.
14.13 If you follow a link to an independently operated third-party website, its operator is responsible for its own cookie practices.
14.14 You may also control or delete cookies through browser settings. Blocking essential technologies may affect Website functions.
14.15 WIC will update the relevant information and consent arrangements when introducing or materially changing technologies, as required by law. Publishing an amended policy does not itself obtain consent.
15. PRIVACY, MARKETING AND CONTENT ATTRIBUTION
15.1 WIC processes personal data in accordance with applicable law and its Privacy Policy. Where cookie or activity information is personal data, the Privacy Policy applies in addition to Clause 14.
15.2 Free System requests, newsletter subscriptions and sales-call bookings use the applicable voluntary sign-up routes made available by WIC.
15.3 Accessing the Website, submitting an enquiry, obtaining a resource, booking a call, making a purchase or accepting these Website Terms does not automatically enrol an individual in ongoing email marketing.
15.4 Newsletters and ongoing subscription marketing require a separate, voluntary, specific and informed opt-in. Optional consent boxes are not preselected. Silence, opening an email or following a link does not constitute marketing consent.
15.5 Optional marketing consent is not a condition of obtaining a free resource, arranging a consultation or purchasing Services.
15.6 WIC may make lawful introductory business contact using relevant public-source information, as explained in its Privacy Policy. These Website Terms do not authorise otherwise unlawful collection, outreach or use of personal data.
15.7 Individuals may unsubscribe or object to direct marketing using the method provided in a communication or by contacting WIC. Necessary order, delivery, billing, security and support communications may continue.
15.8 WIC may measure which content, advertisements and channels generate resource requests, enquiries and purchases. Where lawfully collected, source information may be associated with customer records and purchases for internal performance analysis.
15.9 Providing a stated marketing source and agreeing to consent-dependent attribution tracking are optional. Declining either does not prevent access to the requested resource or Services.
15.10 Consent to newsletters is separate from consent to tracking. Proportionate analysis of voluntarily supplied source information and existing business records is assessed separately under the Privacy Policy.
15.11 Attribution records are subject to the purposes, safeguards, retention periods and individual rights explained in the Privacy Policy. A source code does not prove that particular content caused a purchase.
15.12 Do not submit personal data about another person unless authorised and entitled to do so lawfully. Do not submit live production datasets, sensitive personal data or confidential operational records through general Website forms unless WIC has expressly agreed a suitable submission method.
15.13 Privacy requests may be made through any available contact channel. Contractual formal-notice requirements do not restrict statutory privacy rights or postpone statutory response periods.
16. SECURITY
16.1 You must not knowingly compromise or attempt to compromise the Website or its infrastructure.
16.2 You are responsible for maintaining appropriate security measures on the devices and systems you use to access the Website or download resources.
16.3 WIC may restrict access where reasonably necessary to protect the Website, investigate misuse or comply with law.
16.4 Evidence of suspected unlawful activity may be retained and disclosed to relevant service providers, professional advisers or competent authorities where lawful and appropriate.
16.5 No system guarantees absolute security. This does not remove WIC’s obligation to apply appropriate safeguards or any liability that cannot lawfully be excluded.
17. LIMITATION OF LIABILITY
17.1 Nothing in these Website Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability that cannot lawfully be excluded or limited.
17.2 Subject to Clause 17.1 and applicable law, WIC excludes liability arising solely from use of the Website for:
loss of profit, revenue, production, opportunity, anticipated saving, goodwill or business; and
indirect or consequential loss.
17.3 Subject to Clause 17.1 and applicable law, WIC is not responsible for loss arising from Website interruption, technical failure, harmful material, inaccurate general information or loss or corruption of data, except to the extent caused by a breach of a duty for which WIC remains legally responsible.
17.4 These exclusions and limitations apply only to the extent that they satisfy any applicable statutory requirement of reasonableness or fairness.
17.5 Liability arising from contracted Services or Deliverables is governed by the applicable Contract and Clause 26 of the Business Terms and Conditions. These Website Terms do not impose an additional limitation on that liability.
17.6 Nothing in these Website Terms removes mandatory rights available to Website users, including applicable data protection rights.
18. CLIENT CONFIDENTIALITY, TESTIMONIALS AND CASE STUDIES
18.1 WIC will not publicly name a Client, use its logo or publish an identifying testimonial or case study unless the Client has expressly granted marketing permission under Clause 7 of the Business Terms and Conditions or separately in writing.
18.2 WIC will not use Client Confidential Information, trade secrets or Client data in marketing materials without the Client’s specific written permission.
18.3 Where a Project is supplied for no monetary charge in exchange for a testimonial and agreed marketing permissions, the applicable Quotation or written agreement identifies those permissions.
18.4 Testimonials must reflect the contributor’s genuine assessment. WIC may suggest topics or prompts but will not dictate wording or require a positive opinion.
18.5 Independent Trustpilot reviews are voluntary and do not affect agreed support entitlements. WIC may display permitted ratings and reviews subject to applicable platform terms, privacy requirements and cookie controls.
18.6 Commercial permission from a Client does not replace the lawful basis or privacy information required for an identifiable individual’s personal data. Where processing relies on the individual’s consent, that consent may be withdrawn.
18.7 Applicable confidentiality agreements and the Business Terms and Conditions continue to govern Client information.
19. LINKING TO THE WEBSITE
19.1 You may link to the Website in a lawful and fair manner that does not misrepresent WIC or suggest an association, approval or endorsement where none exists.
19.2 You must not frame the Website or place a link in a context containing unlawful, fraudulent, malicious or infringing material.
19.3 WIC may withdraw linking permission by notice where it reasonably considers that a link breaches these Website Terms or misrepresents its business.
20. CHANGES TO THESE WEBSITE TERMS
20.1 WIC may amend these Website Terms for future Website use by publishing an updated version and effective date.
20.2 Changes do not retrospectively alter accrued rights or amend an existing Project Contract.
20.3 Variations to existing Contracts and changes to WIC Support fees are governed by the Business Terms and Conditions.
20.4 Publication of revised Website Terms does not obtain separate consent required for marketing, cookies or other processing.
21. SEVERABILITY
21.1 If a provision is unlawful, invalid or unenforceable, it shall be modified to the minimum extent necessary or deleted. The remaining provisions continue in force.
22. WAIVER
22.1 A waiver is effective only if given in writing and applies only to the specific circumstances for which it is given.
22.2 Failure or delay to exercise a right does not constitute a waiver.

23.5 Formal legal notices, termination notices, disputes and claims relating to a Contract must be given in accordance with Clause 30 of the Business Terms and Conditions. This does not restrict how individuals may exercise statutory privacy rights or make data protection complaints.
24. THIRD-PARTY RIGHTS
24.1 A person who is not a party to these Website Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce them.
25. GOVERNING LAW AND JURISDICTION
25.1 These Website Terms and any non-contractual obligation arising from them are governed by the law of England and Wales.
25.2 Subject to mandatory applicable law, the courts of England and Wales have exclusive jurisdiction over disputes arising from or connected with these Website Terms or use of the Website.
25.3 Before commencing proceedings, the parties shall first attempt in good faith to resolve the dispute through written discussions, unless urgent injunctive, protective or other legal action is reasonably required.
25.4 Nothing in this Clause removes any mandatory right concerning governing law, jurisdiction, regulatory complaints or statutory remedies.
